Key Responsibilities:

Legal Advisory

  • Provide expert legal advice and guidance to the company on commercial law matters, including contracts, transactions, compliance, and regulatory issues.
  • Assess and manage legal risks associated with business transactions and propose strategies for risk mitigation.
  • Draft, review, and negotiate a variety of legal documents, including contracts, agreements, and corporate policies.
  • Conduct legal research and analysis to ensure the company is informed of relevant laws, regulations, and industry practices.

Contract Management

  • Ensure contracts are properly structured, contain appropriate provisions, and protect the Company’s interests.
  • Draft, review, and negotiate a wide range of commercial contracts, such as purchase agreements, joint venture agreements, licensing agreements, and distribution agreements to clients.
  • Ensure that contracts align with the company’s objectives, comply with legal requirements, and protect their interests.
  • Advise the Company on contract interpretation, potential risks, and recommended modifications.

Compliance and Corporate Governance:

  • Advise the company on corporate governance matters, including board meetings, shareholder rights, and corporate structure.
  • Assist in the preparation and filing of corporate documents, such as articles of incorporation, bylaws, annual reports etc.
  • Ensure the company’s compliance with applicable laws, regulations, and corporate governance standards.
  • Stay informed about changes in corporate laws and regulations and guide their impact on the organization.

Key Requirements:

  • LLB degree from a recognized University.
  • Minimum 7 – 10 years post-call experience as a corporate commercial lawyer
  • In-depth knowledge of corporate law, contract law, and commercial transactions.
  • Strong analytical, problem-solving, and decision-making skills, with the ability to provide practical and strategic legal advice.
  • Excellent drafting, negotiation, and analytical skills.
  • Strong attention to detail and ability to manage multiple projects simultaneously.
  • Sound business judgment and ability to balance legal risks with business objectives.
  • Familiarity with corporate governance principles and compliance frameworks.
