About the role. 

  • The Legal Analyst will provide support to the legal and compliance team by conducting  thorough legal research, analyzing regulatory compliance, maintaining all legal databases  including document management and proper record keeping, and assisting in the drafting  and review of various legal documents.
  • The Legal Analyst will ensure that the firm and its  affiliated entities adhere to all applicable laws and regulations while supporting the business  objectives. .
  • You will report to the Head, Legal & Compliance. 

Key Responsibilities:

Legal Research & Analysis

  • Utilize legal research databases to gather relevant case law, statutes, regulations,  and legal precedents.
  • Identify and assess legal issues arising from cases, contracts, or regulatory changes, providing clear and logical analysis.
  • Prepare detailed legal memoranda/report that summarize research findings,  analyses, and recommendations for stakeholders.
  • Conduct thorough research on investment regulations, securities’ law, corporate  governance, and other relevant areas of law.
  • Monitor and report on changes in laws, regulations, that could impact the firm’s operations.

Document Review & Drafting

  • Carefully examine contracts, agreements, pleadings, and other legal documents for  accuracy, compliance, and potential issues.
  • Highlight and summarize important clauses or provisions in documents that could  impact the company, such as terms of liability, obligations, and rights.
  • Review contracts, agreements, and legal documents for compliance with relevant  laws and regulations.
  • Prepare initial drafts of various legal documents, including contracts, memoranda,  and legal correspondence, ensuring they are clear and precise.
  • Summarize legal findings, contracts, and other complex documents for internal  stakeholders to ensure clarity.
  • Keep records of revisions and changes to documents throughout the drafting process  to maintain clarity and accountability.

Regulatory Compliance

  • Stay updated on changes in laws and regulations that affect the company’s  operations, including industry-specific requirements.
  • Monitor compliance with local laws governing the investment industry, including the 
  • Securities and Exchange Commission (SEC) regulations and Nigerian Exchange Regulations Ltd (NGX).
  • Assist in the preparation and submission of regulatory filings and reports to relevant  authorities.
  • Evaluate internal policies, practices, and procedures to ensure they align with  applicable legal and regulatory standards.
  • Company Secretarial and Administrative Support:
  • Maintain proper statutory records and corporate information across the entities.
  • Assisting the Company Secretary in Board-related activities.
  • Maintain organized legal files and databases.
  • Assist in scheduling meetings, preparing agendas, and taking minutes of meetings.
  • Legal Support / Document Organization & Contract Management
  • Work closely and liaise with external legal counsel in managing the firm’s litigations.
  • Maintain a systematic filing system for legal documents, ensuring all files are  categorized correctly (e.g., contracts, agreements, regulatory filings,  correspondence).
  • Develop and utilize tracking tools including spreadsheets and contract management  software) to monitor the status of all legal documents.
  • Assist in digitizing contract management processes.
  • Ensure accurate entry and maintenance of contracts within the system, providing  ongoing support to ensure efficient contract retrieval and review
