Job Summary:
- The Corporate Commercial Lawyer will be responsible for providing legal advice and support on a wide range of corporate and commercial matters.
- This role requires a strong understanding of corporate law, commercial contracts, mergers and acquisitions, compliance, and risk management.
Key Responsibilities:
Corporate Governance:
- Advise on corporate governance matters and ensure compliance with corporate policies and statutory regulations.
- Draft, review, and update corporate governance documents including articles of incorporation, bylaws, and board resolutions.
Commercial Contracts:
- Draft, review, and negotiate a variety of commercial contracts, including supply agreements, service agreements, NDAs, and partnership agreements.
- Provide legal support for contract disputes and negotiations.
Mergers and Acquisitions:
- Provide legal advice and support on mergers, acquisitions, divestitures, joint ventures, and other strategic transactions.
- Conduct legal due diligence and draft transaction documents.
Compliance and Risk Management:
- Ensure compliance with applicable laws and regulations, including corporate, commercial, and securities laws.
- Develop and implement risk management strategies and policies.
Legal Advisory:
- Provide legal advice to senior management and other departments on a broad range of corporate and commercial matters.
- Stay updated on relevant legal developments and advise the business accordingly.
Dispute Resolution:
- Manage and resolve corporate and commercial disputes, including litigation, arbitration, and mediation.
- Work with external counsel as needed.
Training and Development:
- Conduct legal training for staff on relevant legal issues and best practices.
Qualifications:
- Bachelor’s degree in Law or equivalent law degree from an accredited law school.
- Knowledge of international corporate and commercial laws.
- Proficiency in legal research tools and software
- Minimum 5 years of experience in corporate and commercial law, preferably in a corporate or law firm setting.
- Strong knowledge of corporate law, commercial contracts, M&A, compliance, and risk management.
- Excellent drafting, negotiation, and communication skills.
- Ability to work independently and as part of a team.
- Strong analytical and problem-solving skills.
- High ethical standards and professional integrity.
- Proficiency in legal research tools and software.
